Corporate Actions
What are corporate actions?
Corporate actions are company events that affect the value or structure of the underlying stock. Common types include cash dividends, inkind dividends, stock splits, reverse splits, mergers and acquisitions, and delistings. When a corporate action occurs, the issuer will make the appropriate adjustments based on the event type to ensure that token positions correctly reflect the changes to the underlying stock.
This section focuses on dividends, stock splits, and reverse splits. For other types of corporate actions, the platform will notify users in advance via official announcements, including any temporary suspension of trading or other product features.
What is the Multiplier?
The Multiplier is an adjustment coefficient used by UMX RWA Stock Tokens to track changes in the underlying stock's equity value. Each token has an initial multiplier of 1 at issuance, meaning 1 token corresponds to 1 unit of the underlying stock's equity. When the underlying stock undergoes a corporate action such as a dividend or stock split, the issuer adjusts the multiplier accordingly so that the token's economic value accurately reflects the change in the underlying asset.
What is the Record Date for a dividend?
The Record Date is the official deadline set by the listed company to determine which shareholders are entitled to receive dividends, vote, or enjoy other rights. The multiplier for UMX RWA tokenized stocks will automatically adjust in accordance with dividend amounts — no manual action is required from users.
What is the Ex-Dividend Date? On which date must I hold tokens to qualify for the dividend?
The ex-dividend date is the cutoff point for dividend entitlement. Users need to confirm their position by 19:50 U.S. Eastern Time on the trading day before the Ex-Dividend Date (exact timing is subject to the actual U.S. stock record time) in order to receive the economic entitlement for that dividend. The system will match the entitlement through a multiplier adjustment.
What is the relationship between the Record Date and the Ex-Dividend Date?
Under U.S. stock T+1 settlement rules, the Ex-Dividend Date and the Record Date are typically the same day.
If the underlying stock pays a dividend while I hold UMX RWA Stock Tokens, will I receive the dividend?
You will receive the corresponding economic entitlement, though it will not be distributed as cash or stablecoins. After the issuer receives the dividend, the net amount — after deducting the 30% U.S. withholding tax and applicable fees — is reinvested to purchase additional underlying shares. This value is then reflected in your position through an adjustment to the token multiplier. The amount of UMX RWA Stock Tokens remains unchanged, but the underlying share amount each token represents increases slightly, which is economically equivalent to the dividend being fully credited to you.
What is a stock split? How will my UMX RWA Stock Tokens be affected?
A stock split is a corporate action in which each existing share is divided into multiple shares, lowering the per-share price while keeping the total market capitalization unchanged.
Example: A company's share price is very high, and the company announces a 1-for-10 split.
Before the split: The underlying share is worth $1,200. 1 UMX RWA Stock Token corresponds to 1 underlying share, so the token is priced at $1,200.
After the split: The underlying share price is adjusted to $120. The platform increases the multiplier to 10, and the token price remains $1,200.
Through the multiplier adjustment, the number of tokens held by users does not change, and the overall portfolio value is unaffected. At this point, each UMX RWA Stock Token corresponds to 10 times the original underlying share amount, while the token price remains unchanged.
What is a reverse split?
The opposite of a stock split: multiple shares are merged into one share, increasing the per-share price while keeping the total market capitalization unchanged.
Example: A company's share price is very low, and the company announces a 10-for-1 consolidation.
Before the consolidation: The underlying share is worth $10. 1 UMX RWA Stock Token corresponds to 1 underlying share, so the token is priced at $10.
After the consolidation: The underlying share price is adjusted to $100. The platform reduces the multiplier to 1/10 of its previous value, and the token price remains $10.
Through the multiplier adjustment, the number of tokens held by users does not change, and the overall portfolio value is unaffected. At this point, each UMX RWA Stock Token corresponds to 1/10 of the original underlying share amount, while the token price remains unchanged.
Will trading be suspended during a corporate action?
Certain services will be temporarily suspended during the corporate action processing period. Please refer to our official announcements for specific suspension windows and service resumption timelines.
